Company formation under a Saudi investment licence
A separate service line from our ERP work. We take a foreign investor from an Egyptian entity all the way to a Saudi commercial registration with every government platform activated — one contract, one accountable team, published prices.
Ten steps, in the order they actually happen
Formation is a sequence, not a checklist — each step unlocks the next, and a document rejected at step seven sends you back to step four. This is the path we run, start to finish.
Incorporating the Egyptian entity
All legal and documentary procedures to establish the company's legal entity in Egypt, as the first step of the chain.
Trade name amendment
Updating the company's trade name so it matches the investment intent and satisfies both regulators.
Transfer of ownership to the new partner
Drafting and notarising the transfer contracts and amending the partners' shares to admit the new partner formally.
Egyptian investment gazette
Issuing and authenticating the official investment gazette from GAFI, the General Authority for Investment and Free Zones.
Tax card
Opening the company's tax file in Egypt and issuing a valid, current tax card.
Opening financial statements
Preparing and auditing the opening balance sheet the authorities require, ready for legal approval.
Document attestation
Every attestation the file needs: the Egyptian Ministry of Foreign Affairs, the Saudi consulate and the other authorities involved.
Reserving the trade name in Saudi Arabia
Filing the proposed name with the Saudi Ministry of Commerce and seeing it through to approval.
Investment licence (MISA)
Applying to the Saudi Ministry of Investment and following the application through to the licence being issued.
Saudi commercial registration
Issuing the Saudi commercial registration on the basis of the investment licence. This is the document that makes the company real.
A registration you cannot operate with is only half a company
The commercial registration lets you exist. These five platforms let you hire, pay salaries, sponsor residencies and sign documents. All of them are activated within the package — not quoted later.
Qiwa
Employment contracts and work visa management.
Muqeem
Passports and residency permits for the company's staff.
Chamber of Commerce
Membership activation and the electronic attestation system.
GOSI
Registering the establishment and managing contributions and compensation.
Mudad
Wage Protection System compliance and linking payroll to the banks.
Handover, in full
Every original document, register, tax file and platform account is handed to you the moment the work is done.
The work between the steps
Most of the time lost in formation is not spent at counters — it is spent redoing a document that was submitted wrong. Reviewing paperwork before it is filed is the single thing that keeps a timeline honest.
Continuous legal follow-up
Direct coverage of every stage in both Egypt and the Kingdom.
Document review before filing
Papers prepared and checked in advance to avoid a rejection or a delay.
Advisory throughout
Legal and administrative advice for the whole duration of the file.
Integrated handover
Originals, registers, tax files and platform credentials, all in your hands.
Priced by activity type and by speed
Commercial activities carry a materially higher cost and a longer path than service, industrial, agricultural or logistics activities — so they are priced on their own table rather than hidden in an average. Each package is bought as one unit, paid in full or in two instalments as you choose when adding it to the cart.
Service, industrial, agricultural & logistics activities
The fastest and least costly path.

Total incl. VAT:
Two options, both written into the contract
Option one — paid in full
100% on signing the agreement and starting the work.
Option two — split
A first payment on award and contract signature at the percentage set on each package, and the balance the moment the official investment licence is issued. You choose the option when adding the package to the cart.
What the fee covers
- Official government fees in Egypt or Saudi Arabia — Ministry of Investment fees, commercial registration fees, attestation fees, platform fees and the like. These vary by authority and activity, are estimated in the written offer, and are invoiced separately.
- Any service outside the scope above is quoted separately and approved in writing by both parties before it is carried out.
- The clock starts when the documents and the payment are both complete — not on the date of signature.
- This offer is governed by the laws of Saudi Arabia, and the competent courts in Riyadh have jurisdiction over any dispute.
- A written offer is valid for 30 days from issue and renewable by written agreement.
The day the registration arrives, the accounting clock starts
A new Saudi entity has invoicing and VAT obligations from its first transaction. As an official Odoo Partner we can hand the new company a working, ZATCA-compliant ERP the moment the registration is issued — quoted separately, and only if you want it.
ZATCA from day one
Compliant invoicing before the first sale, not after the first penalty.
Books that open clean
A chart of accounts built once, correctly, instead of migrated in year three.
